摘 要

为各公司管理层以及公司投资者所知晓，股利分配政策作为上市公司的核心财务政策之一，公司股东以及投资者的利益与该政策息息相关;同时,股利分配政策又关系到公司的发展前景，因而其受到公司管理层的密切关注，而该种政策所能传达出的关于企业发展优良性的信息则被投资者所关心。 

本论文以中国的上市公司的股利分配政策为主要研究中心，首先介绍了我国上市公司主要的股利政策分配现状，通过图表的形式让读者能更加直观地了解相关分配数据变量。股利政策是现在我国上市公司财务管理中的一大难题，包括税后利润的留存形式的取舍、上市公司股利支付形式的选择等等。面对诸如此类的一系列问题，从上个世纪初至今，一大批外国以及中国的学者专家对这个方面进行了大量的研究，所形成的理论体系可以说是五花八门。本文介绍了股利政策主要类型以及股利分配特点，而后以案例分析的形式列述中国石油公司与美的集团的股利分配数据以及其财务数据，进以从一些内部、外部因素方面解析影响这两家公司的股利分配政策的因素，以小衬大，最后总结结论并阐述就规范我国上市公司股利分配政策的建议。

Research on the Dividend Policies of Listing Companies in China

ABSTRACT

As is known to all, dividend distribution ，as one of the core listed company financial policies, is closely related with the interests of the shareholders of a company. At the same time, it involved in the development of the company's future, attracting company management and shareholders. Reasonable dividend distribution policies help to keep the equity structure of listed companies stable, which is concerned about by investors.

This paper mainly introduces the distribution of general dividend policy of listed companies in China. Using the form of chart can make it more accessible for the readers to the changes of the relevant distribution data. Dividend policy is now a big problem in financial management of listed companies in our nation, including the after-tax profits retained in the form of choice, the choice of the form of dividend, and so on. Facing such a series of problems, a number of scholars and economists have done an empirical research. A growing number of scholars home and abroad devoted themselves into the dividend policy theory and empirical research. It is clearly shows that dividend policy in the company of the development of the status. This paper introduces the main types and the traits of dividend policy dividend distribution, stating dividend distribution data and financial data of CNPC and MIDEA GROUP in the form of case study. It analyzes the factors influencing their dividend distribution policy, lined with small. Finally it summarizes the conclusions and standardizes the dividend distribution of listed companies in our country policy suggestions.

1 绪论

1.1 选题背景及意义

改革开放以来，中国的市场经济发展速度迅猛，在我国证券市场上，越来越多的公司加入其中。而公司的利润分配问题，自然而然地成为公司管理层以及公司的股东、投资者心中所系之处，一直受到利益各方的密切关注。同时，公司的利润分配政策也和公司的股价波动有着莫大的联系。分配较高的股利所带来的影响是一方面可使股东以及投资者获得较大的投资收益，另一方面还有可能催升公司的股票价格。但是从另一面来说，派发的股利额过高，企业的留存利润将因此减少，这一情况将很大程度上阻碍了企业的未来发展，或者由于增发新股而使企业的资本成本进一步增加，最终影响公司未来收益。而支付较低的股利，虽然使公司留存较多的发展资金，但可能会令投资者较为失望，失去投资的期望与信心，公司发展亦受到不良影响。综上所述 ，制定股利政策是否合理，对公司来说，其重要性不言而喻。企业应该努力促使其股利的发放与自身的未来发展战略相协调，使公司能处于相对正常的发展状态。

如前文所述，合理的股利分配政策不仅可以树立公司自身的优良形象，而且可以增强投资者的投资信心，从而可以为公司创造一个优良的融资环境，使公司获得长期稳定的发展。由此可见,上市公司制定合理的股利分配政策需要满足自身以及股东的双方利益，也许不能完全满足各自的欲求，但找到两方利益需求的平衡点是必须的。本论文写作目的是基于当今相关政策，分析上市公司股利政策存在的问题，并且针对不完善之处，提出解决方案。本论文希望能以较为独到的个人分析为我国上市公司股利政策的制定提供一些优良建议，促进其发展。

1.2研究内容

第一部分为绪论，陈述本文的研究背景与研究意义，及概述现今市场经济发展的大环境、股利分配政策在不同公司的异化与发展，由此开篇。

第二部分罗列关于股利以及股利分配政策的理论基础。介绍国内外文献，阐述各方学者的股利相关政策理论，以及影响股利分配的因素等，以此为本文的实证分析提供一定的理论思路。
